TERMOS E CONDIÇÕES PARA VENDEDORES – ACORDO DE VENDA
Esta página refere-se aos Termos e Condições (“Acordo de Venda”) segundo os quais Vendedores poderão comercializar seus Produtos através do site da PixelHopp (o “Site”) na condição de Vendedores Registrados.

I – A Conta:

Ao criar uma conta no Site (“Conta”) e marcar a opção “Eu Concordo”, localizada no fim desta página, ou através do acesso ou utilização dos serviços oferecidos pelo Site (os “Serviços”), a pessoa ou empresa que desejar comercializar seus produtos no Site (“Vendedor”) afima que:

(a) leu, compreendeu e concordou em vincular-se aos termos e condições deste Acordo de Venda, incluindo os Termos de Licença, todos estabelecendo um vínculo contratual entre o Vendedor e a PixelHopp; e

(b) leu e reconheceu os termos para a coleta e utilização dos dados do Vendedor dispostos no Acordo de Privacidade da PixelHopp, mesmo não sendo um usuário registrado dos Serviços.

I.I – Empresas, Organizações e Entidades:

Se o Vendedor criar uma Conta em nome de uma Empresa, Organização ou Entidade, então:

(a) o termo “Vendedor” inclui o Vendedor, a Empresa, Organização ou Entidade; e

(b) o Vendedor afirma e garante ser um representante autorizado da Empresa, Organização ou Entidade, com legitimidade para vincular a Empresa, Organização ou Entidade ao Acordo de Venda; e que o Vendedor aceita os termos do Acordo de Venda em nome da Empresa, Organização ou Entidade.

Este Acordo de Venda possui como partes, o Vendedor, cujo nome é mostrado abaixo, e a Hopp Creative Intermediação de Serviços Digitais LTDA. (se o nome da empresa for diferente, é só mudar) (“PixelHopp”), uma Sociedade Empresária de Responsabilidade Limitada.

II – Compromissos Gerais:

O Vendedor se compromete a cumprir as seguintes determinações:

(a) Este Acordo de Venda possui como termo inicial o momento em que o Vendedor cria uma conta no Site e marca a opção “Eu Concordo”, aceitando seus Termos e Condições (“Termo Inicial”) e está, a partir deste Termo Inicial, vinculando o Vendedor e a PixelHopp ao Acordo de Venda.

O Vendedor e a PixelHopp (“Partes”) estabelecem o seguinte:

(b) O Vendedor concorda que quaisquer Produtos por ele disponibilizados no Site não conterão violação a direitos de terceiros de nenhum tipo, incluindo, entre outros, quaisquer direitos de Propriedade Intelectual ou Direitos Privados.

II.I – Direitos de Propriedade Intelectual:

(a) Para os fins deste Acordo de Venda, “Direitos de Propriedade Intelectual” se referem a todos os direitos relativos a Patentes, Direito Autoral, Direitos Privados, Publicidade, Marcas, Trade Dress, Boa-fé, Segredos de Negócio e outros Direitos de Propriedade Intelectual existentes ou que vierem a existir, além de todos os pedidos e registros, prorrogações e extensões dos mesmos, sob as leis de qualquer estado, país, terrotório ou jurisdição;

(b) A PixelHopp reserva-se no direito de banir ou remover o direito de acesso aos Serviços do Vendedor que receber uma ou mais reclamações relacionadas a Direitos Autorais envolvendo qualquer um dos Produtos listados pelo Vendedor ou relacionados ao Vendedor no Site;

(c) O Vendedor compreende que a publicação de seus Produtos no Site não substitui o registro de tais Produtos perante qualquer órgão competente do País a que estiver vinculado ou qualquer outro país que vier a requerer tal registro como condição para a autorização de sua comercialização legal.

II.II – Direitos do Vendedor sobre os Produtos Publicados no Site:

(a) O Vendedor afirma, determina e garante que:

possui o total direito, poder e autoridade para concordar com os Termos e Condições deste Acordo de Venda e para cumprir com todas as obrigações estabelecidas no mesmo;

(b) os Produtos do Vendedor e todas as partes integrantes dos mesmos são de titularidade e controle do Vendedor ou estão licenciados a este e que a utilização dos Serviços pelo Vendedor está autorizada por todas as leis aplicáveis e por todos os demais detentores de direitos sobre os Produtos. O Vendedor também afirma ser detentor de todos os direitos de Propriedade Intelectual sobre os Produtos por ele postados no Site;

(c) se o Produto do Vendedor constitui o todo ou parte de elementos de design, fontes, clipart, sprites, vetores, brush tools e similares, incluídos em programas de design, ao realizer o Upload de tal produto para o Site, o acordo de licença de usuário final, termo de serviço ou permissão equivalente, garante ao Vendedor o direito de incorporar tais elementos ao seu Produto e licenciar tal Produto contendo os elementos citados à PixelHopp;

(d) se o produto do Vendedor contiver música ou letra, o Vendedor é criador ou titular adquirente do direito sobre tal música ou letra e sobre qualquer gravação sonora ou possuidor de licença para o uso dos mesmos;

(e) os Produtos do Vendedor e a utilização de tais Produtos pela PixelHopp, conforme disposições deste Acordo de Venda e outros Acordos vinculando as Partes, não violam ou infringem direitos de terceiros, incluindo, mas não limitando-se a, direitos de Propriedade Intelectual e Direitos Privados;

(f) se os Produtos do Vendedor contiverem nomes, imagens ou símbolos de terceiros (marcas, logomarcas, etc.) identificáveis, o Vendedor garante que obteve o consentimento por escrito e/ou a autorização de tais terceiros ou detentores dos nomes, imagens ou símbolos identificáveis, para a utilização do nome, imagem ou símbolo desses terceiros e para a concessão para a PixelHopp de tais autorizações, conforme estabelecido nos Acordos de Licença encontrados no Site.  O Vendedor também garante que cada terceiro vinculado isentou o Vendedor de qualquer responsabilidade advinda de tal utilização no Site;

(g) a PixelHopp poderá exercer os seus direitos sobre os Produtos do Vendedor concedidos por este Acordo de Venda, ficando isenta da responsabilidade pelo pagamento de qualquer honorário, pagamento residual, taxa ou royalty decorrentes da celebração de qualquer outro acordo;

(h) o Vendedor não fornecerá informações inexatas, enganosas ou falsas à PixelHopp ou a qualquer usuário dos Services (“Usuário”). Se as informações fornecidas à PixelHopp ou a qualquer Usuário vierem a se torar inexatas, enganosas ou falsas, o Vendedor prontamente notificará a PixelHopp de tais alterações;

(i) o Vendedor não utilizará o Site para direcionar Usuários a outros sites ou serviços relacionados à comercialização de Produtos;

(j) ao utilizar o Site para vender um ou mais Produtos, o Vendedor se compromete a pagar à PixelHopp uma taxa referente à venda de tal Produto ou Produtos, assumindo toda a responsabilidade pelo conteúdo dos Produtos oferecidos e concorda que a PixelHopp não pode garantir a duração exata dos mesmos;

(k) o Vendedor se compromete a vincular-se a qualquer Diretriz de Vendedor ou Política de Venda estabelecida pela PixelHopp e a sempre se manter informado sobre qualquer nova orientação ou política publicada pela PixelHopp no Site.

III – Concessão de Licença:

III.I – À PixelHopp:

(a) Ao postar um Produto no Site, o Vendedor expressamente garante, afirma e estabelece ser possuidor de todos os direitos para conceder à PixelHopp uma licença de uso, reprodução, modificação, publicação, listagem de informações sobre, edição, tradução, distribuição, sindicância, utilização pública, display para o público, e de realizar trabalhos derivados, livre de royalties, sub-licenciável, transferível, perpétua, irrevogável, não-exclusiva e global para todos os Produtos, bem como para a utilização do nome, voz, e/ou similares do Vendedor contidos nos Produtos do Vendedor, no todo ou em parte, e para qualquer forma, mídia ou tecnologia, conhecida hoje ou desenvolvida após o Termo Inicial, para a utilização em conexão com os Serviços e com o negócio da PixelHopp, incluindo, sem limitações, a promoção e redistribuição total ou parcial nos Serviços (e trabalhos derivados dos mesmos) em qualquer formato de mídia e através de qualquer canal de mídia. O Vendedor garante de qualquer Produto listado possui permissão para ser comercializado nos termos de qualquer licença aplicável mostrada no Site.

III.II – Aos Usuários:

(a) O Vendor, por meio deste, concede a cada Usuário uma licença não exclusiva para acessar o Conteúdo de Usuário do Vendedor através do Site, conforme permitido pela funcionalidade dos Serviços e pelas disposições deste Acordo de Venda, bem como pelas demais Licenças aplicáveis;

(b) o Vendedor concede e/ou autoriza a PixelHopp a conceder a cada Usuário que vier a adquirir os Produtos do Vendedor, todos os direitos, sujeitos à todas as restrições aplicáveis, descritos nas Licenças aplicáveis. O Vendedor deve revisar as Licenças com cuidado antes de realizar o upload dos Produtos.

IV – Entrega dos Produtos:

(a) Todos os produtos devem ser entregues imediatamente após a compra, sem restrições ao download imediato dos mesmos;

(b) quando requerido, todos os Produtos devem ser armazenados no Site. O Vendedor não deve exigir que um Usuário forneça informações pessoais para poder ter acesso a produtos Licenciados.

V – Processo de Resolução de Transações:

(a) As Partes possuem responsabilidade solidária pela garantia de que as compras facilitadas pelo Site se darão de forma satisfatória e livre de aborrecimentos. O Site se responsabiliza pelos processos de resolução de transações quando os Usuários informarem que seu Produto não foi entregue ou quando informarem que o produto que receberam é diferente daquele descrito na descrição do produto, na forma apresentada no Site. A PixelHopp poderá desempenhar um papel mais ativo no intuito de assegurar que os problemas com transações sejam resolvidos; no entanto, o Vendedor concorda que a PixelHopp não é obrigada a agir desta forma. O Vendedor assume o compromisso de permitir que a PixelHopp tome a decisão final, a seu critério exclusivo, para a solução de qualquer conflito. A PixelHopp se reserva no direito de corrigir qualquer erro de processamento descoberto, debitando ou creditando dos ganhos do Vendedor o saldo conflituoso.

VI – Pagamentos & Remunerações:

(a) A não ser que de outra forma seja acordado, por escrito, pelas Partes, a PixelHopp deverá enviar os pagamentos requeridos em conformidade com os prazos e formas estabelecidos pelo próprio Vendedor no momento da escolha do processo de pagamento mais adequado às suas necessidades, por meio da seção “Forma de Remuneração”, disponibilizada pelo Site. As formas de pagamento disponíveis no Site estão sujeitas a alterações;

(b) a PixelHopp se reserva no direito de reter pagamentos ou debitar direto da conta do Vendedor no Site, quaisquer quantias devidas pelo Vendedor nos termos deste Acordo de Venda, bem como quantias devidas em razão de violação por parte do Vendedor de qualquer disposição deste Acordo de Venda, após a violação ter sido minuciosamente investigada e comprovada pela PixelHopp;

(c) no intuito de garantir o pagamento adequado, o Vendedor ficará responsável pelo fornecimento e manutenção de informações precisas de contato e bancárias, associadas à conta do Vendedor no Site, incluindo, sem limitações, eventuais informações tributárias;

(d) se a PixelHopp se encontrar na obrigação de obter informações tributárias do Vendedor, e o Vendedor não fornecer tais informações após a requisição ter sido feita, a Remuneração do Vendedor poderá ser retida pela PixelHopp até que sejam prestadas as informações necessárias ou após a PixelHopp entender que o Vendedor não é uma pessoa, empresa, companhia ou entidade cujas informações tributárias devam ser obtidas;

(e) qualquer remuneração de terceiros relacionada a pagamentos devolvidos ou cancelados em virtude de um erro no fornecimento de informações de contato ou pagamento ou em virtude de omissão, poderá ser deduzida do pagamento recentemente realizado ao Vendedor;

(f) o Vendedor se compromete a recolher todos os impostos ou encargos aplicáveis, estabelecidos por qualquer Órgão Governamental em relação à participação do Vendedor no Site;

(g) se o Vendedor contestar qualquer pagamento, deverá notificar a PixelHopp, por escrito, no prazo de 30 (trinta) dias contados de tal pagamento. A ausência da notificação da contestação de pagamento à PixelHopp resultará na renúncia do Vendedor a qualquer reclamação decorrente deste pagamento conflituoso;

(h) o Pagamento deverá ser calculado somente com base nos registros mantidos pela PixelHopp. Nenhuma outra informação ou estatística deverá ser aceita pela PixelHopp, não produzindo qualquer efeito sobre este Acordo de Venda;

(i) a PixelHopp poderá reter quaisquer impostos ou valores advindos de pagamentos devidos ao Vendedor, no intuito de cumprir as Leis Tributárias aplicáveis;

(j) para a proteção contra os riscos de responsabilidade civil, a PixelHopp poderá requerer que seu provedor de serviços de pagamento retenha fundos do Vendedor com base em certos fatores, incluindo, mas não se limitando a histórico de venda, desempenho de vendedor, grau de risco da categoria do catálogo do Produto do Vendedor, ou surgimento de uma ação judicial.

VII – Isenção de Garantias:

(a) OS PRODUTOS E SERVIÇOS DAS PARTES SÃO FORNECIDOS NA “FORMA ENCONTRADA” E “NA FORMA DISPONIBILIZADA”. NENHUMA DAS PARTES FAZ AFIRMAÇÕES OU GARANTIAS EXPRESSAS, IMPLÍCITAS OU LEGAIS RELATIVAS AOS SEUS PRODUTOS OU QUALQUER PARTE DOS MESMOS, INCLUINDO, SEM LIMITAÇÕES, QUALQUER GARANTIA IMPLÍCITA DE TÍTULO, COMERCIALIZAÇÃO, ADEQUAÇÃO A UM FIM EM PARTICULAR, NÃO-VIOLAÇÃO, OU AQUELAS ADVINDAS DE DESEMPENHO, MANUSEIO, UTILIZAÇÃO OU OFÍCIO;

(b) SEM O INTUITO DE LIMITAR A GENERALIDADE DO MENCIONADO ACIMA, AS PARTES NÃO GARANTEM QUE SEUS PRODUTOS OU SERVIÇOS ESTARÃO LIVRES DE DEFEITOS, IMPERFEIÇÕES OU ERROS, OU QUE SATISFARÃO AS EXIGÊNCIAS DE OUTRA PESSOA OU CLIENTE, OU QUE ESTARÃO EM CONFORMIDADE COM AS LEIS APLICÁVEIS.

VIII – Limitação de Responsabilidades:

(a) EM NENHUM CASO, AS PARTES SERÃO RESPONSABILIZADAS POR QUALQUER TEORIA DE RESPONSABILIDADE POR DANOS INDIRETOS, INCIDENTAIS, ESPECIAIS, PUNITIVOS, EXEMPLIFICATIVOS OU CONSEQUENCIAIS DE QUALQUER TIPO (INCLUINDO, SEM LIMITAÇÕES, QUAISQUER DANOS ADVINDOS DE VIOLAÇÃO CONTRATUAL OU DE GARANTIA, OU DE NEGLIGÊNCIA OU RESPONSABILIZAÇÃO ESTRITA), INCLUINDO, SEM LIMITAÇÕES, PERDAS E DANOS, RECEITA OU QUALQUER DEFEITO OU VÍCIO EM SEUS PRODUTOS OU SERVIÇOS, MESMO SE A PARTE TIVER SIDO ADVERTIDA OU DEVESSE SABER DA POSSIBILIDADE DE TAIS DANOS;

(b) EM NENHUMA HIPÓTESE A RESPONSABILIDADE AGREGADA À PixelHopp EM VIRTUDE, RELACIONADA OU EM CONEXÃO COM O PRESENTE Acordo de Venda EXCEDERÁ OS VALORES PAGOS AO Vendedor NOS TERMOS DESTE Acordo de Venda:

IX.I – Contratante Independente:

(a) As Partes não deverão ser consideradas um agente da outra Parte para qualquer fim e a relação entre as Partes deverá ser somente de Contratantes Independentes;

(b) as Partes não possuirão direito ou autoridade para assumir ou criar qualquer obrigação ou para representar ou emitir garantias em nome da outra Parte, expressas ou implícitas, ou para vincular qualquer Parte a qualquer assunto.

X – Lei e Jurisdição Aplicáveis:

(a) Este Acordo de Venda é regido e interpretado de acordo com as leis da República Federativa do Brasil, sem referir-se a princípios legais e excluindo a Convenção das Nações Unidas sobre Contratos para a Venda de Produtos;

(b) as Partes concordam com a jurisdição exclusiva e com o local de Niterói, Rio de Janeiro, Brasil, para a adjudicação de qualquer litígio ou conflito advindo deste Acordo de Venda.

X.I – Termo de Arbitragem:

(a) As partes se comprometem a, primeiramente, tentar resolver qualquer litígio ou conflito advindo deste Acordo de Venda por meio da Arbitragem, que será realizada em Niterói, Rio de Janeiro, Brasil, ou, mediante acordo, por escrito, das Partes (“Termo de Arbitragem”), através de arbitragem online, cujo site será escolhido pela PixelHopp e mencionado no Termo de Arbitragem.

XI – Cessão:

(a) as Partes não poderão ceder, delegar ou transferir seus direitos ou obrigações advindos deste Acordo de Venda, seja por lei ou por outra forma, sem que haja o consentimento, por escrito, da outra Parte (concedida ou negada por discricionariedade), com a excessão da PixelHopp ceder este Acordo de Venda em função de uma fusão, aquisição, venda de substancialmente todos os seus bens ou ações, financiamento, reorganização ou transação similar;

(b) este Acordo de Venda irá reverter-se em benefício das Partes, seus sucessores e cessionários.

XII – Incorporação, Modificação e Renúncia:

(a) Este Acordo de Venda constitui o acordo entre as Partes relacionado ao assunto por ele tratado e incorpora qualquer outra negociação anterior, bem como versões das Partes ligadas ao mesmo;

(b) nenhuma modificação ou emenda deste Acordo de Venda, bem como nenhuma renúncia de direitos vinculados a este Acordo de Venda deverá produzir efeitos, a não ser as decorrentes de acordo, por escrito, assinado pelas Partes;

(c) a renúncia da punição por violação ou descumprimento do exercício de qualquer direito não deverá constituir renúncia de punição por qualquer violação ou descumprimento subsequente.

XIII – Divisibilidade:

(a) Se qualquer das disposições deste Acordo de Venda for considerada inválida ou ineficaz por qualquer jurisdição competente, de acordo com qualquer estatuto ou letra de lei aplicável, a mesma deverá ser substituída pela disposição válida que mais proximamente refletir as intenções das Partes e as disposições remanescentes deverão continuar em vigor.

XIV – Partes Separadas:

(a) Este Acordo de Venda pode ser executado em partes separadas, cada uma das quais sendo considerada original, e todas em conjunto consideradas apenas um instrumento.

TERMS AND CONDITIONS FOR VENDORS – VENDOR AGREEMENT
This page explains the terms and conditions (“Vendor Agreement”) by which Vendors may sell Assets through the Service as a Registered Vendor.

I – The Account:

By creating an Account on PixelHopp (“Account”) and checking the “I agree” box or accessing or using the services provided by PixelHopp’s website (the “Services”), you (the “Vendor”):

(a) agrees that has read, understood, and agreed to be bound by the terms and conditions of this Vendor Agreement, including the Terms of License which constitute a binding agreement between Vendor and PixelHopp, and also;

(b) has read and acknowledge the collection and use of Vendor’s information as set forth in our Privacy Policy Agreement (the “Privacy Agreement”), whether or not you are a registered user of the Services.

I.I – Organizations and Entities:

If Vendor opens an Account on behalf of an organization or other entity, then:

(a) “Vendor” includes the Vendor and that entity, and;

(b) Vendor represents and warrants to be an authorized representative of the entity with the authority to bind the entity to the Vendor Agreement, and that Vendor agrees to the Vendor Agreement on the entity’s behalf. This Vendor Agreement is entered into by the Vendor whose name is set forth below and Hopp Creative Intermediação de Serviços Digitais Ltda. (“PixelHopp”), a Brazilian Limited Liability Company.

II – General Agreements:

Vendor agrees to the following:

(a) This Vendor Agreement is entered into as from the date Vendor accepts its terms and conditions by creating an account and checking the “I Agree” box (the “Effective Date”) and is as from the Effective Date binding Vendor and PixelHopp.

Vendor and PixelHopp (“Parties”) agree to the following:

(b) Vendor agrees that any Assets he makes available on the Services will not violate third-party rights of any kind including, but not limited to, any Intellectual Property Rights or Rights of Privacy.

II.I – Intellectual Property Rights:

(a) For the purposes of this Vendor Agreement, “Intellectual Property Rights” means all Patent, Copyright, Mask Work, Moral, Publicity, Trademark, Trade Dress, Service Mark, Goodwill, Trade Secret and other Intellectual Property Rights as may now exist or hereafter come into existence, and all applications and registrations, renewals and extensions thereof, under the laws of any state, country, territory or other jurisdiction;

(b) PixelHopp reserves the right to ban or remove access to the Services if Vendor receives one or more Copyright Complaints Against any Assets listed by or related to the Vendor on the Services;

(c) Vendor understands that publishing Vendor’s Assets on the Services is not a substitute for having these Assets registered with any rights organization in the U.S. or any other country.

II.II – Vendor’s Rights to the Assets published in the Services:

(a) Vendor affirms, represents and warrants that:

Vendor has the full right, power and authority to enter into this Vendor Agreement and to fully perform all of Vendor’s obligations;

(b) Vendor’s Assets and all parts thereof are owned and controlled by, or licensed to the Vendor, and Vendor’s use of the Services is permitted by all applicable laws and by all applicable rightsholders. Vendor retains all Intellectual Property Rights to the Assets posted by the Vendor;

(c) If Vendor’s Asset consists in whole or in part of design elements, fonts, clipart, sprites, vectors, brush tools and the like that are included in design programs by uploading such Assets to the Services, the end user license agreement, terms of service or the equivalent license held by the Vendor does allow the Vendor to incorporate such elements in the Assets created by the Vendor, and to license such Assets to PixelHopp;

(d) If Vendor’s Assets contains music and/or lyrics, Vendor owns or has acquired all rights to use such music and/or lyrics and any sound recording from the owner of the copyright in such music and/or lyrics or sound recording;

(e) Vendor’s Assets and PixelHopp’s use as contemplated by this Vendor Agreement and the Services will not violate any law or infringe any rights of any third party, including but not limited to any Intellectual Property Rights and Privacy Rights;

(f) To the extent that Vendor’s Assets contain identifiable third party or landmark(s), Vendor represents that Vendor has obtained written consent and/or model and property release(s) of those third-parties pictured, to use such third party’s name or likeness and grant PixelHopp all of the license rights set forth in the applicable Licenses found in the Services. Vendor also warrants that each such third party has released Vendor from any liability that may arise in relation to such use;

(g) PixelHopp may exercise the rights to Vendor’s Assets granted under this Vendor Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise;

(h) Vendor will not provide inaccurate, misleading or false information to PixelHopp or to any other user of the Services (“User”). If information provided to PixelHopp or to any User subsequently becomes inaccurate, misleading or false, Vendor will promptly notify PixelHopp of such change;

(i) Vendor will not use the Services to direct Users to other services or sites to purchase Assets;

(j) By using the Service to sell one or more Assets, Vendor agrees to pay PixelHopp’s fees for such transaction, assume full responsibility for the content of the Assets offered, and accept that PixelHopp cannot guarantee exact listing durations;

(k) Vendor agrees to abide by any seller guidelines or policies set forth by PixelHopp and to always be informed about any new guideline or policy published by PixelHopp in the Services.

III – License Grant:

III.I – To PixelHopp:

(a) By posting any Assets on the Service, Vendor expressly grants and represents and warrants that Vendor has all rights necessary to grant, to PixelHopp a royalty-free, sub-licensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such Assets and Vendor’s name, voice, and/or likeness as contained in Vendor’s Assets, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Services and PixelHopp’s business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. Vendor affirms that any listed Assets are cleared to be sold under any applicable license shown in the Services.

III.II – To Users:

(a) Vendor also hereby grants each User a non-exclusive license to access Vendor’s User Content through the Services, as permitted through the functionality of the Services and under this Vendor Agreement and applicable Licenses;

(b) Vendor grants and/or authorizes PixelHopp to grant each User who purchases Vendor’s Assets with all the rights, and subject to all the restrictions, described in the applicable Licenses. Vendor should review the Licenses carefully before uploading any Assets.

IV – Asset Delivery:

(a) All Assets must be delivered immediately after purchase, with no barriers to immediate download;

(b) Whenever required all Asset files should be hosted on the Services. Vendor must not require a User to provide personal information in order to access licensed Assets.

V – Resolution Process for Transactions:

(a) Both Parties share the responsibility for making sure that purchases facilitated by the Services are satisfactory and hassle-free. The Services hosts the resolution process for transactions when Users claim that their Asset was not received, or the Asset they received was different from the one described in the product listing. PixelHopp may take a more active role in ensuring transaction problems are resolved; however, Vendor understands that PixelHopp is not obligated to do so. Vendor agrees to permit PixelHopp to make a final decision, in PixelHopp’s sole discretion, on any disputes. PixelHopp reserves the right to fix any discovered processing errors by debiting or crediting Vendor’s earned credits balance.

VI – Payouts & Earnings:

(a) Unless otherwise agreed by the Parties in writing, PixelHopp shall send requested payouts according to published timeframes, and in the method, Vendor select during the payout setup process. Available payout methods are subject to change;

(b) PixelHopp reserves the right to withhold payment or charge back to Vendor’s account any amounts otherwise due to PixelHopp under this Vendor Agreement, or amounts due to any breach of this Vendor Agreement by the Vendor, pending PixelHopp’s reasonable investigation of such breach;

(c) To ensure proper payment, Vendor is solely responsible for providing and maintaining accurate contact and payment information associated with Vendor’s account, which includes without limitation applicable tax information;

(d) If PixelHopp believes to be in the obligation of obtaining tax information, and Vendor does not provide such information to PixelHopp after PixelHopp has requested it, PixelHopp may withhold Vendor’s payments until Vendor provides such information or otherwise satisfies PixelHopp that Vendor is not a person or entity from whom PixelHopp is required to obtain tax information;

(e) Any third-party fees related to returned or canceled payments due to a contact or payment information error or omission may be deducted from the newly issued payment;

(f) Vendor agrees to pay all applicable taxes or charges imposed by any Government Entity in connection with Vendor’s participation in the Services;

(g) If Vendor disputes any payment, Vendor must notify PixelHopp in writing within thirty (30) days as from such payment. Failure in notifying PixelHopp shall result in the waiver by Vendor of any claim relating to such disputed payment;

(h) Payment shall be calculated solely based on records maintained by PixelHopp. No other measurements or statistics of any kind shall be accepted by PixelHopp or have any effect under this Vendor Agreement;

(i) PixelHopp may withhold any taxes or other amounts from payments due to Vendor as required by law;

(j) To protect against the risk of liability, PixelHopp may request that PixelHopp’s payment service provider holds Vendor’s funds based on certain factors, including, but not limited to, selling history, seller performance, the riskiness of the listing category, or the filing of a dispute claim.

VII – Warranty Disclaimer:

(a) EACH PARTY’S PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEITHER PARTY MAKES ANY REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO ITS PRODUCTS OR ANY PART THEREOF, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THOSE ARISING FROM COURSE OF PERFORMANCE, DEALING, USAGE OR TRADE;

(b) WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, NEITHER PARTY WARRANTS THAT ITS PRODUCTS OR SERVICES WILL BE FREE OF DEFECTS, INACCURACIES, OR ERRORS, WILL MEET THE OTHER PARTY’S OR ANY CUSTOMERS’ REQUIREMENTS OR WILL COMPLY WITH APPLICABLE LAWS.

VIII – Limitation of Liability:

(a) IN NO EVENT WILL EITHER PARTY BE LIABLE UNDER ANY THEORY OF LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, ANY SUCH DAMAGES ARISING FROM BREACH OF CONTRACT OR WARRANTY, OR FROM NEGLIGENCE OR STRICT LIABILITY), INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE OR FROM ANY DEFECT OR ERROR IN ITS PRODUCTS OR SERVICES, EVEN IF A PARTY HAS BEEN ADVISED OR SHOULD KNOW OF THE POSSIBILITY OF SUCH DAMAGES;

(b) IN NO EVENT WILL THE AGGREGATE LIABILITY OF PixelHopp ARISING FROM, RELATING TO, OR IN CONNECTION WITH THIS Vendor Agreement EXCEED THE AMOUNTS PAID TO AFFILIATE UNDER THIS Vendor Agreement.

IX.I – Independent Contractor:

(a) Neither Party shall be deemed to be an agent of the other Party for any purpose, and the relationship between both Parties shall only be that of independent contractors;

(b) Neither Party shall have any right or authority to assume or create any obligations or to make any representations or warranties on behalf of any other Party, whether express or implied, or to bind the other Party in any respect whatsoever.

X – Governing Law and Jurisdiction:

(a) This Vendor Agreement is governed and interpreted in accordance with the laws of the Federative Republic of Brazil, without reference to conflicts of laws principles and excluding the United Nations Convention on Contracts for the Sale of Goods;

(b) Both Parties consent to the exclusive jurisdiction of, and venue in, Niterói, Rio de Janeiro, Brazil, for the adjudication of any disputes arising hereunder.

X.I – Arbitration Agreement:

(a) Both Parties agree to, in first place, try solving any legal disputes arising hereunder through Arbitration, which shall also be handled in Niterói, Rio de Janeiro, Brazil or, by written agreement of the Parties (“Arbitration Agreement”), through online arbitration, which will be chosen by PixelHopp and appointed in the Arbitration Agreement.

XI – Assignment:

(a) Neither Party shall assign, delegate, or otherwise transfer its rights or obligations under this Vendor Agreement, by operation of law or otherwise, without prior written consent of the other Party (to be granted or withheld in its reasonable discretion); with the exception of PixelHopp assigning this Vendor Agreement in connection with a merger, acquisition, sale of substantially all of its assets or stock, financing, reorganization, or similar transaction;

(b) This Vendor Agreement will inure to the benefit of the Parties and their permitted successors and assigns.

XII – Merger, Modification and Waiver:

(a) This Vendor Agreement constitutes the entire agreement between both Parties with respect to the subject matter hereof, and merges all prior negotiations and drafts of the Parties with regards thereto;

(b) No modification of or amendment to this Vendor Agreement, nor any waiver of any rights under this Vendor Agreement shall be effective unless in writing and signed by both Parties;

(c) The waiver of one breach or default or any delay in exercising any rights shall not constitute a waiver of any subsequent breach or default.

XIII – Severability:

(a) If any of the provisions of this Vendor Agreement is held by a court of competent jurisdiction to be invalid or unenforceable under any applicable statute or rule of law, it shall be replaced with the valid provision that most closely reflects the intent of both Parties and the remaining provisions shall continue in full force and effect.

XIV – Counterparts:

(a) This Vendor Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
